These Terms constitute a legally binding agreement between you (the "Client") and KnightAI.Pro, operated by Julien Gaumont, based in Quebec, Canada ("KnightAI.Pro", "we", "us", or "our").
These Terms apply to all visitors, clients, and others who access or use our website and services. Specific project engagements may be governed by a separate written agreement or statement of work, which shall take precedence over these general Terms where there is a conflict.
KnightAI.Pro provides AI and automation consulting services to small and medium-sized enterprises (SMEs), including but not limited to:
All services are delivered as described in individual proposals, statements of work, or written agreements confirmed between KnightAI.Pro and the Client. We reserve the right to refuse service to anyone for any reason at any time.
Payment terms are outlined in individual project proposals or invoices. Unless otherwise agreed in writing:
If a Client fails to make payment by the due date, KnightAI.Pro reserves the right to suspend or terminate services until the outstanding balance is settled. Delivery of final files or access to completed systems may be withheld until full payment is received.
Refunds are handled on a case-by-case basis. Work already completed and delivered is generally non-refundable. If a project is cancelled by the Client after commencement, KnightAI.Pro reserves the right to invoice for work completed up to the point of cancellation.
Upon receipt of full payment, the Client receives a license to use the deliverables produced specifically for their project. The specific terms of ownership and licensing (exclusive vs. non-exclusive, transferable vs. non-transferable) will be detailed in the individual project agreement.
Unless explicitly stated otherwise in writing:
The KnightAI.Pro brand, name, logo, and website content are the exclusive property of KnightAI.Pro and may not be used without written permission.
Both parties agree to treat as confidential any proprietary, sensitive, or non-public information shared during the course of the engagement ("Confidential Information").

These confidentiality obligations survive the termination or expiration of any service agreement.
To ensure successful delivery, the Client agrees to:
Delays caused by the Client's failure to provide required materials or approvals may affect project timelines. KnightAI.Pro is not liable for delays resulting from Client inaction.
To the maximum extent permitted by applicable law, KnightAI.Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, business interruption, or loss of profits, even if KnightAI.Pro has been advised of the possibility of such damages.
KnightAI.Pro's total liability to the Client for any claim arising out of or relating to these Terms or the services provided shall not exceed the total amount paid by the Client to KnightAI.Pro in the three (3) months preceding the event giving rise to the claim.
KnightAI.Pro warrants that services will be performed in a professional and workmanlike manner, consistent with industry standards. We will correct material defects in deliverables reported within 14 days of delivery, at no additional charge.
Except as expressly stated above, all services and deliverables are provided "as is" and "as available." KnightAI.Pro makes no warranties, express or implied, including but not limited to:
AI systems may produce unexpected outputs. The Client is responsible for monitoring and validating the outputs of any AI or automation system delivered by KnightAI.Pro before relying on them for business-critical decisions.
Either party may terminate a project engagement with written notice. In the event of termination:
KnightAI.Pro may immediately terminate a service relationship if the Client breaches these Terms, fails to make payment, or uses KnightAI.Pro services for illegal or harmful purposes.
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes that cannot be resolved amicably between the parties shall be submitted to the exclusive jurisdiction of the courts located in the Province of Quebec, Canada.
KnightAI.Pro reserves the right to update or modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
For active project engagements, material changes to these Terms will be communicated directly to affected Clients.
